1. Agreement to terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Thoth, located at Rue Vieille Chera 6A, 4140 Sprimont, Belgium ("Thoth," "we," "us," or "our"), governing your access to and use of the Thoth service available at thoth.in (the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Description of service
Thoth is an AI-assisted writing tool that helps users generate and refine LinkedIn posts. The Service includes features such as style matching, templates, idea generation, and optional integrations with third-party services (including LinkedIn) to enrich your experience.
3. Eligibility and account registration
3.1 Account creation
To use the Service, you must create an account by providing accurate and complete information, including your name, email address, and other required details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Parental consent for minors
While there is no minimum age requirement to use the Service, users under the age of 16 must have consent from a parent or legal guardian before creating an account or using the Service. Parents or guardians who consent to their child's use of the Service agree to be bound by these Terms on behalf of the child and accept responsibility for the child's use of the Service.
3.3 Account accuracy
You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy. You must not impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity.
4. Subscription plans and pricing
4.1 Subscription tiers
The Service is offered through various subscription plans with different features and pricing tiers. The specific features, limitations, and pricing for each subscription tier are described on our website at thoth.in.
4.2 Billing and payment
Subscriptions may be purchased on a monthly or annual billing cycle. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis according to your chosen billing cycle. All fees are stated in the currency specified at the time of purchase and are non-refundable except as expressly provided in these Terms.
4.3 Payment failures
If a scheduled payment fails, we will attempt to process the payment up to four (4) times within a two-week period. If payment remains unsuccessful after 21 days from the original payment date, your subscription will be automatically cancelled, and your access to paid features will be terminated.
4.4 Refund policy
All subscription fees are non-refundable except in cases where an error on Thoth's part resulted in incorrect billing or service failure attributable to Thoth. Refund requests must be submitted to info@thoth.in within 30 days of the charge in question. We reserve the right to determine, in our sole discretion, whether a refund is warranted.
4.5 Price changes and tier modifications
We reserve the right to modify our pricing, subscription tiers, and features at any time. As our Service evolves and grows, we may adjust tier structures and may require users to migrate to different subscription plans that better suit their usage patterns. We will provide reasonable advance notice of any material changes to pricing or subscription structure that affect existing subscribers.
5. User content and intellectual property
5.1 User content ownership
You retain all ownership rights to any content you create, upload, or submit through the Service ("User Content"). By using the Service, you grant Thoth a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purposes of:
- Providing and improving the Service
- Marketing and promotional purposes, provided such content is anonymized and does not personally identify you
- Technical support and customer service
5.2 Thoth intellectual property
The Service, including its software, features, functionality, design, text, graphics, and other content (excluding User Content), is owned by Thoth and is protected by Belgian, European Union, and international copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works based on the Service without our express written permission.
6. Prohibited uses and user conduct
You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Specifically, you agree not to:
- Violate any applicable local, national, or international law or regulation
- Infringe upon the intellectual property rights of Thoth or any third party
- Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Engage in any form of spam, phishing, or unsolicited advertising or promotional activities
- Scrape, crawl, or use automated systems to access or collect data from the Service without our express written permission
- Resell, redistribute, or provide access to the Service to third parties without authorization
- Attempt to gain unauthorized access to any portion of the Service, other user accounts, or connected systems
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Transmit any viruses, malware, or other malicious code
- Use the Service to collect, harvest, or store personal data about other users without their consent
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use the Service in any manner that could damage, disable, overburden, or impair the Service
- Impersonate any person or entity or falsely claim an affiliation with any person or organization
- Engage in any activity that constitutes fraud or financial crime
- Use the Service to promote or facilitate illegal activities
- Create multiple accounts to evade enforcement of these Terms or circumvent Service limitations
7. Third-party services and LinkedIn integration
7.1 LinkedIn data
The Service may integrate with LinkedIn through the LinkedIn Member Data Portability API. By connecting your LinkedIn account to the Service, you represent and warrant that:
- You have the right to authorize Thoth to access your LinkedIn data
- You will comply with LinkedIn's terms of service and policies
- You will not use LinkedIn data in violation of LinkedIn's policies or applicable law
7.2 Third-party services
The Service may contain links to or integrations with third-party websites, services, or applications. We are not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.
8. Service modifications and availability
8.1 Right to modify or discontinue
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason. We may also impose limits on certain features or restrict access to parts or all of the Service without notice or liability.
8.2 Service availability
While we strive to maintain high availability, we do not guarantee that the Service will be available at all times or that it will be uninterrupted, secure, or error-free. We are not liable for any downtime, service interruptions, or data loss that may occur.
9. Account termination and suspension
9.1 Termination by user
You may terminate your account at any time by contacting us at info@thoth.in or through the account settings in the Service. Upon termination, your access to paid features will cease at the end of your current billing period. No refunds will be provided for any remaining subscription period.
9.2 Termination by Thoth
We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Failure to pay applicable fees
- Conduct that harms or is likely to harm Thoth, other users, or third parties
- Any other reason deemed appropriate by Thoth in its sole discretion
No refunds will be provided for accounts terminated due to violations of these Terms.
9.3 Effect of termination
Upon termination of your account, your right to use the Service will immediately cease. We may delete your User Content and account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Disclaimers and warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
Thoth does not warrant that:
- The Service will meet your requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any errors in the Service will be corrected
- The Service will be compatible with your systems or equipment
You acknowledge that your use of the Service is at your sole risk. Any material downloaded or otherwise obtained through the use of the Service is accessed at your own discretion and risk.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THOTH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
TO THE EXTENT PERMITTED BY LAW, THOTH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO THOTH FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.
12. Indemnification
You agree to defend, indemnify, and hold harmless Thoth, its affiliates, and their respective directors, officers, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any rights of another party, including intellectual property rights
- Any User Content you submit, post, or transmit through the Service
13. Governing law and jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Belgium. You and Thoth agree to submit to the personal jurisdiction of such courts.
14. Changes to terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:
- Posting the updated Terms on our website with a new "Last updated" date
- Sending you an email notification to the address associated with your account
Your continued use of the Service after such notification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
15. General provisions
15.1 Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Thoth regarding the Service and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
15.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
The failure of Thoth to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by Thoth.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent.
15.5 Force majeure
Thoth shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, riot, terrorism, natural disasters, labor disputes, government actions, or internet service failures.
